Qualifying a buyer
A short screen before you open a data room.

Before an NDA, ask three things. How much cash can they write without borrowing it from the seller. Have they talked to an SBA lender, or are they hoping the listing's "SBA eligible" flag is a commitment. Do they intend to operate, and have they done this work before.

If the buyer is an agent acting for someone else, the audit log shows the agent and the principal. Do not accept an LOI from the agent. The human approves it.
