How to draft a CIM
What a confidential information memorandum is, and what the generator will and will not write.
This is educational. A generated memorandum is a draft, not a document to send.
A CIM is the story behind the teaser: how the company makes money, what the owner does, what a buyer is actually purchasing, and what the risks are. Buyers use it to decide whether to write an indication of interest.
The builder on this site turns the fields you type into a labeled draft. It does not invent revenue. It does not look up your customers. It stamps the page as a draft and tells you to have the seller and counsel read every figure before anyone else does.
A usable CIM still needs exhibits you attach yourself: three years of statements, the add-back schedule, a lease summary, and a list of licenses with their transfer rules. Those are diligence items, not paragraphs.
